Welcome to ScriptBuddy LLC ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our web-based screenwriting platform, website, and related services (collectively, the "Service").
By creating an account, logging in, or utilizing the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

1. Eligibility and Account Registration |
Age Requirement: You must be at least the age of majority in your jurisdiction (18 in most of the United States) and able to form a legally binding contract in order to register for and hold an account. A minor who has reached the minimum age of digital consent in their country (13 in the United States) but is not yet the age of majority may use the Service only through a parent or legal guardian who holds the account, accepts these Terms, and is responsible for all activity on it. By allowing a minor to use the Service, you represent that you are that minor's parent or legal guardian. The Service is not intended for, and may not be used by, anyone below the minimum age of digital consent in their country (13 in the United States).
Account Security: You are entirely responsible for safeguarding your login credentials and for all activities occurring under your account. You agree to notify us immediately of any unauthorized use of your account.
Eligibility Representations: By registering for or using the Service, you represent that you are not barred from receiving the Service under the laws of the United States or any other applicable jurisdiction, that you are not located in a country subject to a U.S. Government embargo, and that you are not listed on any U.S. Government list of prohibited or restricted parties. You agree not to use or access the Service in violation of any applicable export control or sanctions laws.

2. Platform Usage, Features, and Access Tiers |
A. Free Tier Accounts. The Service provides a free account tier. The free tier allows you to create and edit screenplays subject to certain limits, including a limit on the number of screenplay projects you may hold and the exclusion of certain premium features. The specific features and limits of the free tier are described on our website and within the Service and may change from time to time.
B. Paid Accounts. You may purchase a paid subscription to unlock additional features and higher limits. The specific features included with a paid subscription are described on our website and within the Service and may change from time to time. Paid upgrades are offered on a subscription basis, with pricing, available plans, and subscription terms as presented at the time of purchase. We may change our pricing and plan offerings from time to time without amending these Terms; the terms presented to you at the time of purchase govern that transaction. When a paid subscription term ends, the account reverts to the free tier: your account and existing screenplays are retained, and the free tier's features and limits then apply.
C. Our Right to Modify the Service. ScriptBuddy LLC reserves the right to modify, update, re-architect, or alter its software, feature availability, pricing, plan structures, billing models, and account access tiers. Changes do not affect the price or terms of a paid subscription you have already purchased for its then-current term; they apply to renewals and new purchases going forward. Material changes to our plan structures or billing models will be communicated to users in accordance with Section 14 of these Terms.
Prepaid, Non-Renewing Subscriptions. Paid subscriptions are prepaid for a fixed term. Subscriptions do not automatically renew and we will not charge you again when a term ends. To continue with a paid subscription after your term ends, you may choose to manually renew. The terms presented to you at the time of purchase govern that transaction. If you do not renew, your account reverts to the free tier as described in Section 2(B).
Payment Processing. Payments are handled by a third-party payment processor. We do not collect or store your full payment card details on our own systems. Your use of the payment processor may be subject to that processor's own terms.
No Refunds. All payments are final. Except where required by applicable law, subscription fees are non-refundable, in whole or in part, and are not subject to proration or credit for any unused portion of a term.
Taxes. You are responsible for any applicable taxes, duties, or similar charges associated with your purchase.
A. Termination by You. You may close your account at any time by contacting the ScriptBuddy Help Desk at help@scriptbuddy.com. When we process your request, your account and your User Content are permanently deleted and cannot be recovered. Any fees you have already paid are non-refundable, as described in Section 3. Residual copies may persist in routine backups for a limited time before those backups cycle out.
B. Suspension or Termination by Us. We may suspend or terminate your account if you breach these Terms (including the Acceptable Use Policies in Section 9), fail to pay amounts owed, use the Service unlawfully, or create a risk to the Service, to us, or to others. Where practical, we will give you notice and a reasonable opportunity to export your User Content before termination. For serious cases, including illegal activity, security threats, or abuse of the Service, we may suspend or terminate immediately and without prior notice.
C. Inactive Accounts. We may terminate accounts that have been inactive for two years and permanently delete their User Content. Signing in to your account, or using it while signed in, counts as activity and restarts this period. For an account with a paid subscription, the inactivity period does not begin until the later of your last activity or the end of your paid term. We will attempt to notify you at your registered email address before deleting an inactive account.
D. Effect of Termination. On termination, your right to access and use the Service ends, and the license you granted us in Section 5 (User Content) to host your User Content ends once your User Content is deleted. User Content that has been permanently deleted cannot be recovered. Provisions of these Terms that by their nature should survive termination will survive, including Sections 5 (ownership), 7 (Limitation of Liability), 8 (Indemnification), and 11 (Governing Law and Jurisdiction).

5. User Content and Intellectual Property Privileges |
Your Content Ownership: You retain 100% ownership, copyright, and intellectual property rights over all text, screenplays, and data you compose, store, or process within the Service ("User Content").
Limited Hosting License: You grant ScriptBuddy LLC a non-exclusive, worldwide, royalty-free, limited license to host, store, replicate, transmit, and back up your User Content. This license is granted solely to the extent necessary for us to render the Service to you (e.g., saving your work to our servers and displaying it on your screen).
User Responsibility: You are solely liable for the content you write. You represent and warrant that your User Content does not violate any third-party copyrights, trademarks, or local laws.
Legal Access: We do not routinely access the contents of your screenplays. However, you acknowledge that we may access, preserve, or disclose your User Content and account information where we reasonably believe it is necessary to comply with applicable law or legal process, to enforce these Terms, or to protect the rights, property, or safety of ScriptBuddy LLC, our users, or the public.

6. Service Availability and System Hygiene |
Storage Boundaries: To maintain platform stability, all accounts, whether free or paid, are subject to a total storage limit of 50 Megabytes (MB), measured as the combined file size of all your screenplays, unless a higher limit is expressly allocated. There is no limit on the number of screenplays you may create, provided your combined storage stays within this limit. We reserve the right to temporarily freeze document modifications if an account exceeds this limit or is flagged for server resource abuse.
Technical Requirements and Performance: The Service is a web application and may require a compatible, supported browser, certain software, and adequate device and network resources, which are your responsibility to provide and maintain. Performance depends on your browser, device, network, and the size and complexity of your content, and may vary even when your software is current. We do not warrant any particular level of speed or responsiveness and are not responsible for performance affected by factors outside our control.
Continuous Maintenance: ScriptBuddy LLC reserves the right to perform necessary server updates, database cleanups, and software maintenance that may cause temporary platform downtime.
Backups: We may maintain backups of User Content as part of operating the Service, but backups are provided on a best-effort basis and are not guaranteed. We do not warrant that any particular data will be recoverable. You are responsible for maintaining your own copies of any User Content you wish to preserve.
Exporting Your Content: Paid subscriptions include tools to export your screenplays, including formatted export to PDF and to plain text, which you can use to keep your own copies of your work. All accounts can view a screenplay in full through the Preview window, from which you can copy its text. You may also request a copy of your User Content from the ScriptBuddy Help Desk, provided as raw, unformatted text.

7. Limitation of Liability |
Disclaimer of Warranties. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCRIPTBUDDY LLC SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL BE PRESERVED OR RECOVERABLE.
Limitation of Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCRIPTBUDDY LLC DISCLAIMS ALL LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA LOSS, DOCUMENT CORRUPTION, SERVER DOWNTIME, OR SOFTWARE BUGS ARISING OUT OF YOUR USE OR INABILITY TO USE THE PLATFORM.
Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SCRIPTBUDDY LLC ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, FOR ALL CLAIMS COMBINED, WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE PAID NOTHING DURING THAT PERIOD, SCRIPTBUDDY LLC SHALL HAVE NO MONETARY LIABILITY TO YOU.
Exceptions. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above exclusions and limitations may not apply to you. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
You agree to defend, indemnify, and hold harmless ScriptBuddy LLC and its officers, directors, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your User Content; (b) your use of the Service; (c) your breach of these Terms; or (d) your violation of any law or of the rights of any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that matter.

9. Acceptable Use Policies |
You agree not to use the Service, or its infrastructure, to:
1. engage in automated scraping, crawling, or bulk access of the Service by any automated means, except as we may expressly permit;
2. reverse-engineer, circumvent, or bypass platform access gates, account tiers, feature restrictions, layout restrictions, or any security or authentication measure;
3. upload, store, or transmit any content containing viruses, malware, malicious scripts, or any other code designed to harm, interfere with, or disrupt the Service or any user, computer, or network;
4. interfere with, disrupt, overload, or place an unreasonable load on the Service, its servers, or its networks;
5. gain or attempt to gain unauthorized access to any account, system, or data that is not your own;
6. impersonate any person or entity, or misrepresent your affiliation with any person or entity;
7. upload, store, or transmit any content that is unlawful, or that infringes or misappropriates any third party's copyright, trademark, or other intellectual property or proprietary rights;
8. use the Service to plan, carry out, or assist any illegal activity, or in violation of any applicable law or regulation; or
9. use the Service in any manner not permitted by these Terms.
This list gives examples of prohibited conduct and is not exhaustive. We may determine, in our reasonable discretion, that other conduct threatens the Service, our users, or others, and address it under Section 4 (Term and Termination).
Your use of the Service is also governed by our Privacy Policy, which is available on our website and is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, and safeguard your information. By using the Service, you consent to the data practices described in the Privacy Policy.

11. Governing Law and Jurisdiction |
These Terms, along with your use of the Service, shall be governed by, interpreted, and enforced in accordance with the laws of the State of New Jersey, United States of America, without regard to conflict of law principles. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located within New Jersey.
Before filing any legal claim against ScriptBuddy LLC, you agree to first contact the ScriptBuddy Help Desk at help@scriptbuddy.com and describe your concern, and to allow us ninety (90) days to attempt to resolve it informally. To the maximum extent permitted by applicable law, you and ScriptBuddy LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. To the maximum extent permitted by applicable law, you and ScriptBuddy LLC each waive any right to a trial by jury in any action or proceeding arising out of or relating to these Terms or the Service.
If you send us feedback, suggestions, ideas, or other input about the Service, you agree that such feedback is non-confidential and that ScriptBuddy LLC may use it for any purpose, without restriction, attribution, or compensation to you. You grant ScriptBuddy LLC a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate your feedback into the Service or any other product or service.

14. Amendments to These Terms |
We reserve the right to update or replace these Terms at any time and for any reason, including product evolution, legal or regulatory changes, or any other business needs. When amendments are made, we will update the "Last Updated" date and version identifier at the top of this document. Material changes will be communicated to users via a conspicuous in-app notification or an email message sent to your registered address. Continued use of the platform after adjustments take effect constitutes acceptance of the modified Terms.
Severability. If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Entire Agreement. These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and ScriptBuddy LLC regarding the Service and supersede any prior agreements or understandings.
Notices. You are responsible for keeping the email address registered to your account accurate and current. We may provide notices to you by email to your registered address, by posting within the Service, or by other reasonable means, and notices sent to your registered address are deemed given when sent. You may send notices to us at the ScriptBuddy Help Desk at help@scriptbuddy.com.
Assignment. Your account is personal to you and is not transferable. You may not sell, gift, assign, or otherwise transfer your account, or these Terms or any of your rights or obligations under them, to anyone else without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.
Electronic Contracting. By using the Service, you agree that clicking "Agree" (or a similar button), creating an account, or otherwise using the Service constitutes your electronic signature and your intent to be bound by these Terms, and you consent to entering into this agreement and receiving related notices electronically.
Waiver. Our failure to enforce any provision of these Terms will not be considered a waiver of that provision or of our right to enforce it later. Any waiver must be in writing to be effective.
Force Majeure. ScriptBuddy LLC will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, power or network failures, or actions of third parties.
